1. Acceptance of Terms

By accessing or using the Nivida Fintech LLP website (nivida.io), mobile app, or any related services (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Platform.

2. Who We Are

Nivida Fintech LLP is an AMFI-Registered Mutual Fund Distributor (ARN-363855) (LLP Registration No. ACQ 1104), registered office at S10, Abu Central, Tirupati Fibres, Old Check Post, Abu Road – 307026 (Rajasthan). We facilitate mutual fund transactions on behalf of investors through registered Asset Management Companies (AMCs); we do not manage funds ourselves.

3. Eligibility & Account Registration

• You must be at least 18 years old and legally capable of entering into a binding contract under Indian law.
• You must complete KYC as required by SEBI/AMFI before transacting.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

4. Nature of Services

The Platform provides tools such as SIP calculators, portfolio analytics, goal-based planning, and mutual fund distribution facilitation. Any AI-generated recommendation, projection, or "AI Recommendation" shown on the Platform is for illustrative and informational purposes only and does not constitute investment advice under SEBI (Investment Advisers) Regulations. Mutual fund transactions are executed with the respective AMC/RTA; Nivida Fintech LLP acts solely as a distributor and facilitator.

5. No Investment Advice

Nothing on the Platform constitutes personalized investment, tax, or legal advice. All investment decisions are made solely by you, at your own discretion and risk. Please read the Risk Disclaimer for details on investment risks.

6. Fees

We do not charge investors a separate advisory or platform fee for standard mutual fund distribution — you invest at the NAV declared by the AMC. We may earn AMFI/AMC-regulated distribution commission from the respective AMC, as permitted by applicable regulations.

7. User Obligations

• Provide accurate, current, and complete information during registration and KYC.
• Not use the Platform for any unlawful, fraudulent, or unauthorized purpose.
• Not attempt to interfere with, disrupt, or reverse-engineer the Platform.

8. Intellectual Property

All content, branding, software, and tools on the Platform are the property of Nivida Fintech LLP or its licensors and may not be copied, reproduced, or redistributed without prior written consent.

9. Limitation of Liability

To the fullest extent permitted by law, Nivida Fintech LLP shall not be liable for any indirect, incidental, or consequential loss arising from your use of the Platform, including investment losses arising from market performance or third-party AMC/RTA processing.

10. Termination

We may suspend or terminate your access to the Platform if you breach these Terms or if required by regulatory direction.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at [City, Rajasthan].

12. Changes to These Terms

We may revise these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
